The initial document that tells the company’s story and provides some financial information to prospective buyers. Usually a Non-Disclosure Agreement must be executed by the prospective buyer before this information is provided. It is often comprehensive and includes detailed information about the company’s business, market position, organizational structure, historical performance and projected financial performance. Names of employees, customers and vendors are often not included.
